1. Acceptance of Terms

By accessing or using the services provided by iiSP.io ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.

These Terms constitute a legally binding agreement between you and iiSP.io, a corporation registered in the Province of Ontario, Canada.

2. Description of Services

iiSP.io provides artificial intelligence integration services including but not limited to:

• Retrieval-Augmented Generation (RAG) systems
• AI agent development and deployment
• AI system orchestration
• Document processing and analysis
• Custom chatbot development
• AI consulting and implementation

3. Account Registration

To access certain features of our services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Promptly update your information if it changes
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

4. Acceptable Use

You agree not to use our services to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights
• Transmit malicious code or attempt to gain unauthorized access
• Harass, abuse, or harm others
• Generate or distribute harmful, illegal, or objectionable content
• Interfere with or disrupt the integrity of our services
• Circumvent any security or access controls
• Use the services in a manner that could damage our reputation

5. Intellectual Property

Our Intellectual Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, software, and documentation, are owned by iiSP.io and are protected by Canadian and international intellectual property laws.

Your Content

You retain ownership of any content you submit through our services. By submitting content, you grant us a limited license to use, process, and store that content solely for the purpose of providing our services to you.

6. Confidentiality

We understand the sensitive nature of business information. We maintain strict confidentiality protocols and will not disclose your confidential information to third parties except as required to provide our services, as authorized by you, or as required by law. Our confidentiality obligations are further detailed in our service agreements.

7. Payment Terms

For paid services:

• Fees are as quoted in your service agreement or on our website
• All fees are in Canadian dollars unless otherwise specified
• Payment is due according to the terms in your service agreement
• Late payments may incur interest at 1.5% per month
• You are responsible for all applicable taxes

8. Service Level and Support

Service level commitments and support terms are specified in your individual service agreement. We strive to maintain high availability but do not guarantee uninterrupted access to our services. Scheduled maintenance will be communicated in advance when possible.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Our services are provided "as is" without warranties of any kind
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• Our total liability is limited to the fees paid by you in the twelve (12) months preceding the claim
• We are not responsible for any loss of data, profits, or business opportunities

10. Indemnification

You agree to indemnify and hold harmless iiSP.io, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

11. Termination

Either party may terminate the service relationship:

• With 30 days written notice for convenience
• Immediately for material breach that remains uncured after 15 days notice
• Immediately if the other party becomes insolvent or ceases operations

Upon termination, your right to access our services ceases. We will provide reasonable assistance in transitioning your data.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

Any disputes shall be resolved through binding arbitration in Ottawa, Ontario, in accordance with the Arbitration Act, 1991 (Ontario), unless the parties agree otherwise in writing. Each party shall bear its own costs, with arbitration fees shared equally.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on our website at least 30 days before taking effect. Your continued use of our services after changes take effect constitutes acceptance of the modified Terms.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
